1. INTRODUCTION
Welcome to Lapar Society ("Lapar Society", "we", "us", "our").
These Terms and Conditions ("Terms") govern the use of our website, registration portal and review services. By submitting a registration, making payment or otherwise engaging our services, you ("Client", "you", "your") acknowledge that you have read, understood, and agree to be bound by these Terms.
Lapar Society is an independent food review platform dedicated to discovering, reviewing, and showcasing food and beverage establishments throughout Malaysia. Reviews may be published across our website, Instagram, TikTok, YouTube, Facebook, and other digital or social media channels operated by Lapar Society.
2. DEFINITIONS
or the purposes of these Terms:
"Client" means any individual, sole proprietor, partnership, company, restaurant, café, food vendor, or other business entity registering for a review through Lapar Society.
"Content" means all photographs, videos, audio recordings, written reviews, captions, graphics, designs, editorial content and other materials created by Lapar Society.
"Platform" means any website, social media channel, digital platform or publication operated by Lapar Society.
"Review Fee" means the review service fee payable by the Client, currently at a rate of RM3,000.00 only.
"Review" means the evaluation, visit, content production, publication, and related services performed by Lapar Society.
"Review Team" means Lapar Society's employees, contractors, reviewers, photographers, videographers, content creators, agents, and representatives.
3. ELIGIBILITY & REGISTRATION
To register for a Review:
(a) the business must be a legally operating food or beverage establishment in Malaysia;
(b) the person completing the registration must have authority to bind the business;
(c) the establishment must be open and operational at the time of review;
(d) all licences, permits, registrations, and approvals required under Malaysian law must be valid and maintained; and
(e) the business must not be engaged in unlawful, fraudulent, misleading, or deceptive conduct.
Additionally, applicants must satisfy at least one (1) of the following criteria:
a) Muslim-Owned Business – A business in which the majority ownership, management, or control is held by one or more Muslim individuals;
b) Halal-Certified Business – A business that possesses a valid halal certification issued by the relevant competent authority; or
3) Halal-Friendly Business – A business that does not serve pork, lard, alcohol, or other non-halal ingredients and operates in a manner generally suitable for Muslim consumers.
Lapar Society reserves the right, at its sole and absolute discretion, to request such supporting documentation as it deems necessary, conduct verification and due diligence checks, and determine whether a business satisfies the eligibility criteria set out above. The decision of Lapar Society in this regard shall be final and binding.
Lapar Society reserves the absolute right to accept or reject any registration application for any reason without explanation.
4. REVIEW FEE & PAYMENT
4.1 Review Fee
A one-time Review Fee of RM3,000.00 (Ringgit Malaysia Three Thousand Only) is payable for each Review booking.
The Review Fee covers:
- review planning and coordination;
- One (1) establishment visit(s);
- photography and/or videography;
- content creation and editing;
- administrative costs;
- One (1) posting on Instagram, TikTok, Facebook and Threads [mirrored] publication and promotion of review content.
4.2 Nature of Service
The Review Fee is a service fee paid for Lapar Society's time, resources, expertise, editorial review process and content production activities.
The Review Fee does not constitute payment for advertising, sponsorship, endorsement, positive publicity, guaranteed publication, guaranteed audience reach, guaranteed engagement, guaranteed sales and guaranteed business outcomes.
4.3 Payment Terms
(a) Full payment must be received before any review date is scheduled.
(b) Payment shall be made through approved payment methods per our website.
(c) Payment confirmation will be issued electronically.
(d) Lapar Society reserves the right revise its fees at any time, provided such revisions shall not affect confirmed bookings.
4.4 Non-Refundable Policy
Except where expressly stated otherwise in these Terms, all payments made to Lapar Society are non-refundable.
5. REVIEW PROCESS
5.1 Editorial Independence
Lapar Society operates as an independent review platform.
The Client acknowledges and agrees that:
(a) Lapar Society retains complete editorial independence;
(b) reviews reflect genuine opinions and experiences of the Review Team;
(c) payment does not guarantee a positive review;
(d) payment does not influence ratings, opinions, conclusions or recommendations;
(e) Lapar Society may publish positive, neutral, mixed or negative findings;
(f) the Client has no right to approve, veto, remove, delay or require changes to any editorial opinion, rating, recommendation, narrative, conclusion or creative direction contained in the Review. Any factual verification or amendment process permitted under Clause 5.6 or 5.7 does not grant the Client editorial approval rights.
5.2 Subjective Opinions
The Client acknowledges that reviews contain subjective opinions, commentary, observations and personal experiences.
The Client agrees not to bring any claim solely because it disagrees with a reviewer's opinion, rating, recommendation, commentary or conclusion.
5.3 Scheduling
Upon receipt of payment, Lapar Society will contact the Client to arrange a review date. Review dates remain subject to availability of Lapar Society. Failure to respond within fourteen (14) days may result in forfeiture of the booking without refund.
5.4 Review Visit Conditions
The Client shall:
- provide reasonable access to the premises;
- provide seating and operational access;
- ensure normal business operations during the visit; and
- refrain from influencing or interfering with the review process.
The Review Team may order from the standard menu and evaluate the establishment in its ordinary operating condition.
5.5 Content Delivery Timeline
Lapar Society will generally endeavour to publish review content within approximately fourteen (14) days from the date of the Review Visit.
The Client acknowledges that content production involves editing, post-production, quality control, scheduling and internal review processes, which may require approximately seven (7) working days or longer.
Publication timelines are estimates only and are not guaranteed. The estimated publication timeline is provided for planning purposes only and shall not create any obligation on Lapar Society to publish Content by a specific date.
Lapar Society reserves the right to postpone, reschedule, delay or adjust publication dates due to operational requirements, production schedules, public holidays, marketing campaigns, platform considerations, force majeure events or other unforeseen circumstances.
Such delays shall not constitute a breach of these Terms and shall not entitle the Client to any refund, compensation or cancellation rights.
5.6 Pre-Publication Review
At Lapar Society's sole discretion, the Client may be provided with a preview of the Content prior to publication for the limited purpose of verifying factual information only.
Factual information includes matters such as:
- business name;
- outlet location;
- operating hours;
- menu item names;
- pricing;
- contact information; and
- other objective business details.
The Client acknowledges that any preview provided does not grant approval rights over the Content.
The Client shall not request, and Lapar Society shall not be obliged to make, changes relating to editorial opinions, ratings, recommendations, tone, narrative, conclusions, reviewer commentary, creative direction, or overall review outcome. Lapar Society retains sole editorial control over all Content.
5.7 Amendment Policy
Where a pre-publication preview is provided, the Client shall be entitled to one (1) round of factual amendment requests prior to publication.
Nothing in this Clause shall require Lapar Society to alter editorial opinions or conclusions, but Lapar Society may correct genuine factual inaccuracies at its discretion before or after publication.
All amendment requests must be submitted in writing within three (3) business days of receipt of the preview, unless otherwise specified by Lapar Society.
Additional amendment requests may be declined or may be subject to additional fees at Lapar Society's sole discretion.
If the Client fails to provide feedback within the specified review period, the Client shall be deemed to have accepted the factual accuracy of the Content and Lapar Society may proceed with publication without further notice.
For the avoidance of doubt, amendment requests may only relate to factual inaccuracies and shall not extend to editorial opinions, ratings, recommendations, commentary, tone, creative direction, or review conclusions.
6. PUBLICATION RIGHTS
6.1 No Guaranteed Publication
Lapar Society reserves the right, at its sole discretion, to publish, delay publication, decline publication, remove publication, and/or archive publication, for any reason including editorial concerns, legal risks, reputational concerns, food safety concerns, platform restrictions or operational considerations.
Where the Review process has been performed, the Review Fee shall remain non-refundable regardless of whether content is ultimately published.
6.2 Publication Timing
Lapar Society makes no guarantee regarding publication dates, publication frequency, audience reach, impressions, views, engagement or commercial outcomes.
7. CONSENT TO RECORDING & ACCESS
The Client grants Lapar Society permission to enter the premises and capture photographs, video recordings, audio recordings, interviews, branding, signage, menus, food preparation, products, interior and exterior spaces, and/or staff interaction for review, promotional, archival and content creation purposes.
8. CLIENT OBLIGATIONS
The Client agrees to:
(a) provide accurate and complete information;
(b) notify Lapar Society of changes affecting operations;
(c) ensure the establishment is operational during scheduled visits;
(d) comply with all applicable laws;
(e) act honestly and in good faith;
(f) provide safe access to the premises.
9. FOOD SAFETY & COMPLIANCE WARRANTY
The Client warrants that:
(a) all food and beverages comply with applicable laws and regulations;
(b) all licences and permits are valid;
(c) food handling and storage practices comply with health and safety standards;
(d) all menu descriptions and ingredient disclosures are accurate.
The Client shall be solely responsible for all food safety matters, customer complaints, regulatory investigations, recalls, contamination incidents and related claims.
10. ACCURACY OF INFORMATION
The Client warrants that all information supplied to Lapar Society is accurate, lawful and not misleading. Lapar Society may rely on information supplied by the Client without independent verification.
11. STAFF & THIRD-PARTY CONSENTS
The Client shall be responsible for obtaining any permissions, approvals, or consents necessary from employees, contractors, representatives or other individuals present at the premises.
Lapar Society shall not be responsible for obtaining appearance releases from persons made available by the Client.
12. CONTENT & INTELLECTUAL PROPERTY
12.1 Ownership
All Content created by Lapar Society shall remain the sole and exclusive property of Lapar Society.
12.2 Client Licence
Lapar Society grants the Client a non-exclusive, revocable, royalty-free licence to repost published Content provided:
(a) proper attribution is given;
(b) Content is not materially altered;
(c) Content is not used in paid advertising without prior written consent.
12.3 Business Branding Licence
The Client grants Lapar Society a perpetual, worldwide, royalty-free licence to use the Client's:
- business name;
- logo;
- trademarks;
- menu items;
- product images; and/or
- branding materials;
for purposes connected with the Review.
12.4 Perpetual Rights
Lapar Society may host, archive, display, distribute, republish, reproduce and otherwise exploit Review Content indefinitely.
13. CONDUCT TOWARDS REVIEW TEAM
The Client shall maintain a safe, professional and respectful environment. Lapar Society may immediately terminate a Review where there is harassment, discrimination, intimidation, threats, abusive conduct, unsafe conditions, inappropriate behaviour. No refund shall be payable in such circumstances.
14. FAILED VISIT(S)
If the Review Team attends the scheduled location and:
- the premises are closed;
- access is denied;
- key menu items are unavailable;
- the business is unable to operate normally;
- information provided is materially inaccurate;
Lapar Society may treat the visit as completed and the Review Fee shall remain non-refundable.
15. CANCELLATION & RESCHEDULING
15.1 Cancellation by Client
All cancellation requests must be submitted in writing. The Review Fee remains non-refundable. Lapar Society may permit one (1) rescheduling request at its sole discretion.
15.2 Cancellation by Lapar Society
Lapar Society may cancel or postpone any Review due to operational reasons, legal concerns, safety concerns, force majeure events, and/or breaches of these Terms. Where appropriate, Lapar Society may offer a refund, credit or alternative arrangement.
15.3 Rescheduling Requirement
Rescheduling requests must be submitted at least forty-eight (48) hours before the scheduled Review visit. Requests received after this period may be declined at Lapar Society's sole discretion.
16. THIRD-PARTY PLATFORMS
Lapar Society is not responsible for the actions, policies, algorithms, outages, restrictions, content removals, account suspensions, or technical issues of any third-party platform. Audience reach, engagement, impressions, and visibility are not guaranteed.
17. DISCLAIMER
Reviews are provided for informational, editorial, entertainment and commentary purposes only. Lapar Society makes no warranties regarding accuracy, completeness, reliability, future business performance, customer response, revenue outcomes, and/or reputational impact. The Client acknowledges that the Review Fee is paid for the review service itself and not for any guaranteed commercial result.
18. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Lapar Society shall not be liable for any direct losses, indirect losses, incidental losses, consequential losses, special damages, punitive damages, loss of revenue, loss of profits, loss of business, loss of goodwill, and/or reputational damage of the Client. In all circumstances, Lapar Society's total aggregate liability shall not exceed the amount of the Review Fee paid by the Client.
19. INDEMNITY
The Client shall indemnify, defend, and hold harmless Lapar Society, its owners, directors, employees, contractors, reviewers, agents and representatives from and against any claims, liabilities, losses, damages, costs, penalties, expenses and legal fees arising from the Client's business operations, food safety issues, inaccurate information supplied by the Client, intellectual property infringement, regulatory violations, breach of these Terms; and/or third-party claims relating to the Client's products or services.
20. FORCE MAJEURE
Lapar Society shall not be liable for delays, interruptions, cancellations, or failures caused by events beyond its reasonable control, including but not limited to natural disasters, floods, fires, pandemics, government actions, labour disputes, transportation disruptions, internet failures, social media platform outages, and/or acts of God.
21. PRIVACY
Information collected through registration shall be processed in accordance with our Privacy Policy and applicable laws. The Client consents to the collection, use, storage, and processing of such information for purposes connected with the Review.
22. DISPUTE RESOLUTION
The parties shall first attempt to resolve disputes through good-faith negotiations. If a dispute remains unresolved after thirty (30) days, either party may commence proceedings in the courts of Malaysia.
23. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of Malaysia. The courts of Malaysia shall have exclusive jurisdiction.
24. SEVERABILITY
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
25. ENTIRE AGREEMENT
These Terms constitute the entire agreement between the parties and supersede all prior communications, discussions, understandings, representations, and agreements.
26. ELECTRONIC ACCEPTANCE
Submission of a registration form, payment of the Review Fee, or continued use of Lapar Society's services shall constitute electronic acceptance of these Terms and shall have the same legal effect as a handwritten signature.
27. AMENDMENTS
Lapar Society reserves the right to amend these Terms at any time. Updated Terms will be published on our website and become effective upon publication.
28. INDEPENDENT RELATIONSHIP
Nothing in these Terms shall be construed as creating any partnership, joint venture, employment, agency, fiduciary, or representative relationship between the parties
29. NOTICES
Any notice required under these Terms shall be provided via email to the contact details provided by the parties and shall be deemed received on the date transmitted.
